Salary:  KSHS. 190,000 - 230,000 PLUS COMPANY BENEFITS
Additional Attributes:  REPORTING TO THE CHIEF EXECUTIVE OFFICER, LEGAL AND COMPLIANCE MANAGER MAIN ROLES ARE AS FOLLOWS; UNDERTAKE COMPANY AUDITS AND ENSURE COMPANY EXPOSURE TO LITIGATION IS PROPERLY MITIGATED. DRAFTING AND REVIEWING COURT PLEADINGS AND NEGOTIATING SETTLEMENT OF CLAIMS AND DISPUTES. CONDUCTING LEGAL RESEARCH AND PREPARING LEGAL OPINIONS AND ADVICE NOTES ON VARIOUS LEGAL ISSUES AND ASPECTS OF THE LAW. IN LIAISON WITH HR DEPARTMENT REVIEW AND PROVIDE LEGAL ADVICE ON EMPLOYMENT CONTRACTS, POLICIES, EMPLOYMENT MATTERS ON A NEED BASIS TO ENSURE MINIMAL LABOUR RELATED CASES. DRAFTING AND REVIEWING VARIOUS CONVEYANCING INSTRUMENTS, CONTRACTS, AGREEMENTS AND MEMORANDUM OF UNDERSTANDING. INTERPRETING LEGAL DOCUMENTS, CONTRACTS AND AGREEMENTS AND ENSURING THEIR PROPER EXECUTION. PROVIDING LEGAL GUIDANCE ON CONTRACTUAL OBLIGATIONS DURING CONTRACT NEGOTIATION AND IMPLEMENTATION. LIAISING WITH INTERNAL AND EXTERNAL STAKE HOLDERS AT ALL LEVELS ON BEHALF OF THE COMPANY. ENSURING THAT THE COMPANY IS COMPLIANT WITH ALL LEGAL AND STATUTORY REQUIREMENTS AT ALL TIMES. REVIEWING AND FORMULATING LEGAL POLICIES. FILING ANNUAL RETURNS FOR THE COMPANY. MAINTAINING ORGANIZATION’S STATUTORY RECORDS. OFFERING LEGAL ADVICE TO THE COMPANY ON A REGULAR BASIS AS THE NEED ARISES. MONITORING GOVERNMENT POLICIES, TAX CHANGES, POLITICAL STABILITY, EXPORT POLICIES AND ENSURING THE COMPANY IS ALIGNED. UPDATING THE MANAGEMENT ON CHANGES IN LEGISLATIONS AND CORPORATE GOVERNANCE PRACTICE. ATTENDING BOARD MEETINGS, TAKING MINUTES AND ENSURING THAT THEIR DECISIONS ARE ACCURATELY AND APPROPRIATELY RECORDED IN MINUTES. PREPARING REPORTS FOR SUBSEQUENT BOARD MEETINGS ON THE PROGRESS OF IMPLEMENTATION OF BOARD DECISIONS. PREPARATION AND ISSUANCE OF AGENDAS FOR VARIOUS BOARD MEETINGS AND BOARD COMMITTEE MEETINGS. DRAFTING CORRESPONDENCE TO CLIENTS AND RESPONDING TO THEIR ENQUIRIES. ANY OTHER DUTIES THAT MAY BE ASSIGNED BY THE MANAGEMENT FROM TIME TO TIME.
